Terms of Service

1. What StrataCheck is

StrataCheck ("we", "us", "the Service") is a document analysis tool that reads British Columbia strata document packages and produces a structured summary of potential risks and observations. The Service is provided by StrataCheck, operating out of British Columbia, Canada. By accessing or using the Service at stratacheck.ca, you ("you", "the user") agree to these Terms of Service.

2. StrataCheck is NOT legal or real estate advice

This is the single most important clause in these Terms. Read it carefully.

StrataCheck is an automated document analysis tool. It is not a licensed REALTOR®, not a licensed real estate lawyer, not a home inspector, not a chartered accountant, and not a professional strata manager. Nothing produced by the Service constitutes legal advice, real estate advice, financial advice, tax advice, engineering advice, or a professional opinion of any kind.

Reports generated by the Service may contain errors, omissions, misinterpretations, or outdated information. You must not rely on a StrataCheck report as the sole basis for any real estate decision, including but not limited to: making an offer, removing subjects, waiving conditions, assigning a contract, or completing a purchase. Before making any such decision, you must independently verify the findings by consulting a licensed BC real estate lawyer, your REALTOR®, and any other qualified professionals appropriate to your situation.

3. Your documents and your responsibility

You are responsible for ensuring you have the legal right to upload any documents to the Service. You must not upload documents containing personal information of third parties (other owners, council members, managers) without lawful authority. You must not upload documents that are confidential, privileged, or subject to a non-disclosure agreement you are not entitled to share.

Uploaded documents are stored temporarily on infrastructure described in our Privacy Policy and are deleted on the schedule described there. We do not assume responsibility for the contents of your uploads.

4. Free beta, future paid service

The Service is currently offered free of charge as a beta. We reserve the right to introduce paid tiers, usage limits, or other commercial terms at any time. Beta reports are provided "as-is" with no guarantees of accuracy, completeness, availability, or continued existence.

5. Prohibited uses

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, scrape, or clone the Service; (c) upload malware, encrypted content intended to obfuscate its purpose, or content you do not have the right to share; (d) use the Service to build a competing product; (e) represent a StrataCheck report as the work of a licensed professional; (f) resell reports without our written permission.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATACHECK AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) CANADIAN $100.

Without limiting the foregoing, we are not liable for any decision you make in a real estate transaction, including any loss resulting from removing subjects, waiving conditions, paying more than market value, assuming deferred maintenance costs, or failing to discover material defects. You acknowledge that real estate decisions are inherently high-stakes and that you are solely responsible for your own due diligence.

7. Indemnity

You agree to indemnify and hold StrataCheck harmless from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from your use of the Service, your uploaded content, or your breach of these Terms.

8. Intellectual property

You retain ownership of the documents you upload. We retain ownership of the Service, the report format, the analysis rubric, and all software. Generated reports are licensed to you for your personal, non-commercial use in connection with a real estate decision. You may share a report with your own lawyer, REALTOR®, or advisors but you may not publish it or resell it.

9. Changes and termination

We may modify these Terms at any time by posting an updated version at this URL. Material changes will be indicated by updating the "Last updated" date. We may suspend or terminate the Service, or any user's access, at any time for any reason.

10. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute arising out of these Terms or your use of the Service shall be resolved exclusively in the courts of British Columbia, and you irrevocably consent to the jurisdiction and venue of those courts.
